1. Definitions

In these Terms and Conditions:

  • "Company", "we", "us", or "our" means Samdhyan Transport Pty Ltd, ABN 98 697 735 998, ACN 697 735 998, registered in the state of Western Australia (WA).
  • "You" or "Customer" means any person or entity accessing our website or engaging our transport and logistics services.
  • "Services" means the transport, freight, courier, warehousing, distribution, and supply-chain management services provided by the Company.
  • "Website" means samdhyantransportpty.site and all associated pages and content.

2. Acceptance of Terms

By accessing our Website or engaging our Services, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use our Website or Services. These terms apply to the exclusion of any terms you propose unless expressly agreed to in writing by the Company.

3. Australian Consumer Law

Nothing in these Terms and Conditions excludes, restricts, or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) (ACL), including any guarantees under Part 3-2 of the ACL. Where the Company supplies Services to you as a consumer (as defined in the ACL), you are entitled to the benefit of any non-excludable consumer guarantees.

Where the ACL permits the Company to limit its liability for a breach of a consumer guarantee, the Company's liability is limited, at its option, to:

  • In the case of services — the supply of the services again; or
  • The payment of the cost of having the services supplied again.

4. Services

4.1 Scope

The Company will provide transport and logistics Services as described in any agreed quotation, service agreement, or consignment note. The Company reserves the right to decline any service request at its sole discretion.

4.2 Quotations and Pricing

All quotations are provided in good faith and are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change due to variations in fuel costs, regulatory fees, or other factors outside the Company's reasonable control. The Company will endeavour to notify you of any material price changes before proceeding.

4.3 Delivery Timeframes

While the Company strives to meet all delivery timeframes, any estimated delivery dates are indicative only and do not constitute a guaranteed timeframe. The Company will not be liable for delays caused by factors beyond its reasonable control, including but not limited to weather, road closures, industrial action, or regulatory requirements.

5. Customer Obligations

By engaging the Company's Services, you agree to:

  • Provide accurate and complete information about goods to be transported, including weight, dimensions, nature, and any hazardous characteristics
  • Ensure that all goods are properly packaged and labelled in accordance with applicable laws and industry standards
  • Comply with all applicable laws and regulations relating to the goods, including dangerous goods legislation
  • Pay all fees and charges within the agreed timeframe
  • Indemnify the Company against any loss, damage, or liability arising from your breach of these obligations

6. Liability

6.1 Limitation of Liability

Subject to any non-excludable rights under the ACL or other applicable legislation:

  • The Company's total liability arising out of or in connection with the Services (whether in contract, tort including negligence, or otherwise) is limited to the lesser of the fees payable for the specific Services giving rise to the claim, or AUD $100,000
  • The Company is not liable for any indirect, incidental, special, or consequential loss or damage, including loss of profits, loss of revenue, loss of business opportunity, or loss of data

6.2 Goods in Transit

The Company takes all reasonable care in transporting goods. However, the Company's liability for loss or damage to goods is limited in accordance with the Australian Consumer Law and any applicable transport legislation. Customers are encouraged to arrange their own goods-in-transit insurance for valuable or sensitive items.

7. Intellectual Property

All content on the Website — including but not limited to text, graphics, logos, icons, images, software, and the overall design — is the intellectual property of Samdhyan Transport Pty Ltd and is protected by Australian and international copyright and trademark laws.

You may not, without our prior written consent:

  • Reproduce, distribute, or publicly display any content from the Website
  • Use the Company's name, logo, or trademarks for any commercial purpose
  • Create derivative works based on the Website's content
  • Use any data mining, scraping, or automated extraction tools on the Website

8. Confidentiality

Each party agrees to keep confidential any confidential information received from the other party in connection with the Services. This obligation survives the termination of any service arrangement.

9. Termination

9.1 By the Customer

You may terminate a service arrangement by providing reasonable written notice to the Company at ceo@samdhyantransportpty.site. Cancellation fees may apply for services already commenced or committed.

9.2 By the Company

The Company may terminate a service arrangement immediately by written notice if:

  • You breach a material term of these conditions and fail to remedy the breach within 14 days of notice
  • You become insolvent, enter bankruptcy, or have a receiver or administrator appointed
  • Continuing the service would breach applicable laws or regulations

9.3 Effect of Termination

Upon termination, all outstanding fees become immediately due and payable. Sections relating to liability, intellectual property, and confidentiality survive termination.

10. Dispute Resolution

If a dispute arises out of or relates to these Terms and Conditions or the Services, either party may give written notice to the other. The parties will endeavour to resolve the dispute through good-faith negotiation within 30 days. If the dispute remains unresolved, either party may initiate proceedings in an appropriate court or tribunal.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the state of Western Australia (WA). The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.

12. Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be read down to the extent necessary to make it valid and enforceable.

13. Variation

The Company reserves the right to update or amend these Terms and Conditions at any time. Changes will be published on the Website with an updated effective date. Your continued use of the Website or Services following any changes constitutes acceptance of the revised terms.
